Terms of Service

1. Acceptance of These Terms

By accessing or using StockUp, creating an account, connecting a data key, using Quan, viewing market data, buying credits, or purchasing a subscription, you agree to these Terms. If you do not agree, do not use StockUp.

We may update these Terms from time to time. We will post the updated Terms with a new effective date and summarize the changes in the changes to these Terms section. For material changes, such as changes to pricing, billing, credits, or your rights, we will give notice by email, in the app, or on the website before the change takes effect, and signed-in users may need to accept the updated Terms. Other changes take effect when posted, and your continued use of StockUp after that means you accept them.

When a new legal version is published, signed-in StockUp users may need to review and accept the current Terms, Privacy Policy, and Risk Disclaimer before using authenticated StockUp features, buying plans or credits, or redeeming offers. Signed-in Developer Console and Playground users must accept the current developer terms before opening those workspaces, creating keys, adding wallet funds, or redeeming promotional credit. Existing Developer API credentials are not revoked solely because a user has not accepted a newer Dashboard version, and direct API requests may continue subject to the applicable API terms.

2. Informational Use Only; No Financial Advice

StockUp is an educational, research, analytics, and productivity platform. StockUp does not provide personalized investment advice, financial planning, legal advice, tax advice, brokerage services, investment advisory services, or trade execution.

• StockUp is not a registered investment adviser, broker-dealer, securities exchange, bank, or fiduciary.
• Quan outputs, AI reports, "Quan's view" in research reports, alerts, ratings, StockUp EOY targets, analyst summaries, portfolio health checks, and Live Move Context explanations are informational only. "Quan's view" is an AI-generated summary of the evidence in a report, not a broker rating or a recommendation to buy, sell, or hold.
• You are solely responsible for your investment decisions, trades, tax consequences, and financial outcomes.
• You should verify important information independently and consult qualified professionals when appropriate.

3. Market Risk

Investing involves risk, including possible loss of principal. Stocks, ETFs, options, crypto assets, microcaps, penny stocks, premarket trading, after-hours trading, and overnight trading may be volatile, illiquid, or subject to sharp changes. Past performance does not guarantee future results.

Social media, news headlines, analyst ratings, price targets, AI summaries, and market sentiment can be incomplete, misleading, delayed, or wrong. Do not make investment decisions based only on StockUp or Quan.

4. Quan and AI-Generated Content

Quan is an AI assistant that can summarize, explain, compare, and analyze market information and produce research reports. AI-generated content may contain mistakes, unsupported assumptions, outdated information, hallucinated details, mathematical errors, or formatting errors.

• Quan may use provided page context, user prompts, uploaded files, market data, public filings, public web sources, and model reasoning to generate answers and reports.
• In research reports, StockUp code inserts figures from the cited sources and checks the delivered document, and model-written statements receive a separate verification pass. These checks reduce errors but do not eliminate them.
• Quan does not know your full financial situation unless you provide information, and even then its output is not personal financial advice.
• Quan may use cautious language such as "possible," "likely," or "the evidence points to" because market causality is rarely certain.
• You must verify important facts, numbers, sources, citations, and conclusions before relying on them.

4.1 Underlying models and providers

Each Quan version runs on one or more underlying AI models operated by third-party model providers, together with StockUp's own software, data, and checks. StockUp may change, upgrade, or replace the underlying model or provider for any Quan version at any time to maintain or improve quality, reliability, or cost. Such a change does not by itself change a Quan version's name, price, or plan allowance.

StockUp may enable request logging with its model providers for the project that powers Quan. Those project-private logs may include requests, responses, metadata, and previous-turn context. Authorized StockUp project administrators may access these logs for debugging, security, quality review, and product improvement. If StockUp creates datasets, submits feedback, or shares selected logs with a model provider, that provider may process the shared data under its applicable terms. 4.2 Using and sharing outputs

Subject to these Terms, you may use, save, and share answers and reports that Quan generates for you. Outputs are not exclusive: other users may receive similar or identical outputs. You may not edit a StockUp-generated report and continue to present it as StockUp's work, remove its disclosures, or present "Quan's view" as a broker rating or professional investment advice.

5. Market Data, Charts, News, and Third-Party Sources

StockUp may display or process data from third-party providers, public sources, exchanges, APIs, RSS feeds, SEC EDGAR, Reddit, news publishers, analyst summary sites, or user-connected data providers. Market data can be delayed, incomplete, inaccurate, unavailable, subject to licensing restrictions, or interrupted.

StockUp does not guarantee the accuracy, timeliness, completeness, or availability of prices, charts, extended-hours data, volume, fundamentals, news, ratings, analyst targets, heatmaps, sparkline data, or other market information.

Links to third-party websites are provided for convenience and context. StockUp does not control, endorse, or accept responsibility for third-party content, terms, privacy practices, or availability.

6. Bring Your Own Key (BYOK) Data Access

StockUp may allow users to connect their own Finnhub API key or other data-provider credentials. If you use BYOK features:

• You are responsible for your provider account, API key, usage limits, fees, and compliance with the provider's terms.
• StockUp is not responsible for provider outages, provider rate limits, provider pricing changes, invalid keys, revoked keys, or data restrictions.
• You should not share API keys publicly or connect keys you are not authorized to use.
• StockUp may store or process your key as needed to provide requested functionality, subject to the Privacy Policy.

7. StockUp EOY View and Price Targets

StockUp EOY View, price targets, target ranges, bull/base/bear scenarios, institutional comparisons, and related explanations are informational estimates. They are not guarantees, price predictions you should rely on, or instructions to buy, sell, or hold any security.

Some StockUp target records may be hard-coded, manually reviewed, periodically updated, or unavailable for a ticker. If a ticker has limited data, StockUp may show "Not enough data" rather than produce a target. Do not treat missing, stale, or hard-coded information as current professional research.

8. Live Move Context Beta

Live Move Context is a beta feature that attempts to identify meaningful price moves and possible context, such as news, filings, technical follow-through, retail chatter, or no fresh driver. It does not prove causation.

• A matched headline, filing, social post, or technical label may be coincidental.
• Repeated moves may not have fresh catalysts.
• Social sources are lower-confidence and should not be treated as verified drivers.
• Move history saved on your device may be incomplete or lost if local storage is cleared.

9. Portfolio Tools and Imported Data

Portfolio features, brokerage statement imports, holdings tracking, performance charts, allocation visuals, health checks, stress tests, and Quan portfolio analysis are tools for organizing and reviewing information. They are not account statements, brokerage records, audited reports, or investment management services.

• You are responsible for verifying imported tickers, share counts, cost basis, account values, and transaction history.
• Portfolio values may differ from your broker because of stale prices, missing data, corporate actions, fees, taxes, rounding, currency issues, or import errors.
• Risk scores, health checks, and action plans are estimates and may be wrong.
• StockUp does not custody assets, place trades, manage money, or monitor your account for fiduciary purposes.

10. Accounts, Eligibility, and User Responsibilities

You must be at least 18 years old and able to form a binding contract to create an account, buy a plan or credits, or use the Developer API. You may not use StockUp if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. government restricted-party list.

You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account. You may not use StockUp for unlawful activity, market manipulation, harassment, reverse engineering, abuse of APIs, scraping beyond permitted use, credential sharing, or attempts to bypass plan limits.

Consumer plans (Starter, Plus, and Pro) are for one person's own use. Automated or programmatic access, running Quan for other people, embedding Quan in a product, and reselling Quan outputs require the Developer API or an Enterprise agreement.

You must comply with all laws and regulations that apply to your use of StockUp, including securities laws, data-provider terms, intellectual property laws, sanctions, and export controls.

11. Plans, Credits, Billing, and Limits

Some StockUp features require a paid plan, credits, or prepaid wallet funds. Plan names, prices, included features, usage limits, and billing details are shown on the pricing page, in the app, or in the checkout flow. Prices do not include taxes unless stated; applicable taxes may be added at checkout.

11.1 Plans and usage limits

StockUp offers a free Starter plan and the paid Plus and Pro plans. Current allowances are:

• Starter: 3 Quan 3.5 answers a month; Quan 3.4L up to 150,000 tokens a day (75,000 a day without an account); and a one-time welcome credit grant described in section 11.6.
• Plus: up to 2,000,000 Quan 3.5 tokens a month, with no more than 300,000 in a day; Quan 3.4L up to 1,000,000 tokens a day; and 500 credits a month.
• Pro: up to 4,000,000 Quan 3.5 tokens a month, with no more than 600,000 in a day; Quan 3.4L up to 3,000,000 tokens a day; and 1,000 credits a month.

Usage counts input tokens, visible output tokens, and provider-reported reasoning or thinking tokens for your own requests. Internal checks that StockUp runs on an answer do not count against your allowance. Quan 3.4L usage does not count against the Quan 3.5 allowance. Monthly allowances and included credits reset at the start of each monthly period measured from your subscription date, including on annual plans, and do not roll over. Daily limits reset every 24 hours.

StockUp may express allowances in tokens, answers, or other usage units. Displays such as "about N answers left" are estimates. If an underlying model or provider changes how usage is counted, StockUp may adjust the stated numbers so that a plan's practical value stays substantially similar, with notice for paid plans. The server-side usage record is authoritative.

When you reach a limit, you can wait for the reset, upgrade your plan, or use any additional options StockUp offers in the product at that time.

11.2 Deep Research

Deep Research is governed by separate plan limits. Plus members may make up to 2 Deep Research requests per 24-hour period. Pro members may make up to 5 Deep Research requests per 24-hour period. Deep Research does not use the monthly Quan 3.5 token allowance unless the product expressly states otherwise.

11.3 Subscriptions, renewals, changes, and cancellation

• Subscriptions renew automatically at the end of each monthly or annual billing period until you cancel. Annual plans are billed in full at the start of each annual period, and their allowances and included credits are provided monthly.
• You can cancel at any time. Cancellation stops future renewals and takes effect at the end of the current billing period, and you keep paid access until then.
• Upgrades take effect immediately. Any price difference for the rest of the current billing period is charged or credited as shown at checkout. Downgrades take effect at the next renewal unless the checkout says otherwise.
• If a payment fails or is disputed, StockUp may pause paid features, credits, or promotional benefits on the account until the payment is resolved.

11.4 Refunds

• Monthly subscriptions are not refunded, including for partial months, except where required by law.
• Annual subscriptions: you may request a full refund within 7 days of the first charge for an annual period if you have used no more than 10% of that period's first monthly Quan 3.5 allowance and none of its included credits. After that, annual charges are not refunded except where required by law.
• Credit packs are not refundable for money, except where required by law or where a purchase failed to deliver the credits.

11.5 Quan credits

• One Quan credit represents one cent of eligible StockUp services. Credits are used for research reports and other features that show a credit cost. The credit cost for each type of document or feature is set in the product, and the cost shown before you approve a request is the cost that applies. For example, a 2–4 page research report currently costs 150 credits.
• Credits have no cash value, cannot be sold or transferred, and are lost if you delete your account.
• Credits included in a plan reset each month and do not roll over. Purchased credits and welcome credits do not expire. If a law or regulation requires credits to carry an expiration date, they expire on December 31, 2099, or at the latest date the law allows, whichever is earlier.
• Included plan credits are used first, then purchased and welcome credits.
• Credits reserved for a report are charged only when the report is delivered. If a report fails or is canceled, the reserved credits are returned automatically.
• If StockUp retires a feature that credits pay for, your unused purchased credits remain usable for other eligible features, or are refunded where the law requires.

11.6 Promotions, launch offers, and free offers

Each promotion, offer, code, or free allowance is governed by the terms shown with it and by this section. Unless stated otherwise, offers cannot be combined, transferred, or exchanged for cash, are limited to one per person, and require a verified email address. StockUp may pause, change, or end any free offer or promotion at any time, and may reverse benefits obtained through abuse, duplicate accounts, or automated sign-ups.

• Welcome credits: a new Starter account may receive 150 credits once after verifying its email address and passing StockUp's automated abuse checks.
• Starter Quan 3.5 answers: the monthly free Quan 3.5 answers described in section 11.1 are a free offer and may change.
• Plus Launch: the first 100 Plus subscribers may subscribe at $10 a month on monthly billing. The price continues only while the subscription stays active and on Plus monthly billing. If you cancel, your subscription lapses, or you change plans or billing period, the launch price ends permanently and the spot is not reopened.
• Developer API launch credit: the first 100 eligible Developer API accounts that redeem the published launch code receive $5.00 of promotional API credit. It can be used only for Quan 3.5 requests, is used before your cash wallet balance, expires 60 days after redemption, and is limited to one redemption per account. The account must have a verified email address and have accepted the current developer terms.

11.7 Developer API allowances

Developer API free allowances are available only to verified Developer API accounts and only for the specified model IDs. Quan 3.4 L includes 100,000 lifetime tokens, and Quan Nova has a separate 100,000-token allowance. These allowances are account-level, shared across the account's API keys, and calculated using combined input, output, and provider-reported reasoning tokens.

Developer API free allowances do not apply to Starter, Plus, or Pro subscriptions, Deep Research, Quan 3.4, Quan 3.5, Enterprise model aliases, or another model unless the applicable product documentation expressly says so. Quan 3.5 has no free token allowance. Free Quan 3.4 L grounded requests may include up to two live searches while the allowance remains available. Additional token usage, paid models, and searches require prepaid balance or eligible promotional credit.

When a Developer API request would exceed the remaining free allowance and the available balance cannot cover it, StockUp may stop the request before paid provider work begins. Existing API keys may remain usable without accepting a newer Dashboard version, but new key creation, wallet purchases, and promotional redemptions require acceptance of the current developer terms.

11.8 Prepaid wallet funds

Developer API wallet funds do not expire. Funds belong to the purchasing account, cannot be transferred to another account, and may be used across that account's API keys. Promotional credit is kept separately from wallet funds, has no cash value, and is used only as described in section 11.6. StockUp may reserve estimated token or search costs before a request and settle the final charge using actual provider-reported usage.

11.9 Price changes

StockUp may change plan prices, credit prices, and Developer API rates, including because of changes in model, data, or infrastructure costs. We will give at least 30 days' notice before a Developer API rate increase takes effect, and notice before a subscription price increase applies to your next renewal. A changed API rate applies to requests reserved after the effective time; requests reserved earlier settle at the earlier rate.

Scheduled change: from December 15, 2026, 00:00 U.S. Central Time, Quan 3.4 Developer API rates are $3.00 per 1M input tokens and $18.00 per 1M output tokens.

11.10 Models and features over time

• StockUp may retire a Quan version or Developer API model ID. We will give at least 60 days' notice before retiring a paid Developer API model ID. A retired ID may redirect to a successor model.
• StockUp may move features between plans and may change or end beta features. If a feature you pay for is removed during a paid billing period, we will give notice and, where appropriate, offer a comparable alternative or a prorated credit.

11.11 Limits and abuse

• Users may not bypass limits, create multiple accounts to collect free offers, welcome credits, or promotional credit, share credentials improperly, or manipulate requests to avoid billing controls. StockUp may reverse credits or benefits obtained this way and suspend the accounts involved.
• We may change, suspend, or discontinue features, especially beta or provider-dependent features, subject to any applicable written agreement.
• Enterprise usage credit, seats, document credits, support, service levels, and special data-handling terms are governed by the applicable Enterprise agreement or order form. See the Enterprise Terms Addendum.

12. User Content, Uploads, and Feedback

You may submit prompts, portfolio data, uploaded files, screenshots, brokerage statements, API keys, notes, and other content. You represent that you have the right to provide that content and that it does not violate the law or anyone else's rights.

You grant StockUp a limited right to process your content to operate, secure, improve, and support the service. If you provide feedback or suggestions, StockUp may use them without obligation to compensate you.

Quan may temporarily store uploaded PDFs, extracted text, OCR results, and generated PDFs to complete document jobs. Uploaded source content is normally scheduled for deletion after 24 hours and generated artifacts after 30 days. Document processing may use cloud storage, malware screening, OCR, and AI model providers. You remain responsible for downloading artifacts you wish to keep.

Generated investment plans are educational scenarios, not individualized fiduciary, legal, tax, or investment advice. Assumptions and projections may be wrong, and returns are never guaranteed.

13. Intellectual Property

StockUp, StockUp Quan, the interface, designs, branding, report templates and letterhead, software, generated share-card templates, prompts, workflows, and related materials are owned by StockUp or its licensors. You may not copy, resell, sublicense, or create competing services using StockUp's protected materials except as permitted by law, these Terms, or written permission. Your rights to use outputs are described in section 4.2.

14. Availability and Changes

StockUp is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, data availability, or compatibility with every device, browser, data provider, or market session. Maintenance, provider outages, API limits, cloud incidents, or model availability may affect service.

15. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, StockUp disclaims all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, and availability.

To the maximum extent permitted by law, StockUp will not be liable for investment losses, trading losses, lost profits, lost data, missed opportunities, inaccurate data, AI errors, provider outages, unauthorized access caused by user conduct, or indirect, incidental, consequential, special, exemplary, or punitive damages.

16. Indemnification

You agree to defend, indemnify, and hold harmless StockUp and its operators, affiliates, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of StockUp, your content, your violation of these Terms, your violation of law, or your misuse of market data or AI outputs.

17. Termination

We may suspend or terminate access to StockUp if you violate these Terms, create risk for StockUp or other users, misuse the service, fail to pay required fees, or if we discontinue the service. You may stop using StockUp at any time.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of StockUp will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you and StockUp consent to their jurisdiction, except that either party may seek relief in small-claims court where eligible. Before filing a claim, you agree to contact us at support@stockup.cc and try in good faith to resolve the dispute informally for at least 30 days.

19. General Terms

• Entire agreement: these Terms, together with the Privacy Policy, the Risk Disclaimer, the API Acceptable Use Policy, and any applicable Enterprise agreement, are the entire agreement between you and StockUp about the service.
• Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver: a failure to enforce a provision is not a waiver of it.
• Assignment: you may not transfer your rights under these Terms without our consent. StockUp may assign these Terms, including in connection with a merger, acquisition, or sale of assets.
• Events beyond our control: StockUp is not responsible for delays or failures caused by events beyond its reasonable control, including outages of cloud, model, data, or payment providers.
• Electronic notices: you agree that we may provide notices, receipts, and agreements electronically, by email or in the app.
