Terms of Service

These Terms govern your use of StockUp, StockUp Quan, stock profile tools, portfolio tools, market data features, StockUp EOY View, Live Move Context, and related services.

1. Acceptance of These Terms

By accessing or using StockUp, creating an account, connecting a data key, using Quan, viewing market data, or purchasing a subscription, you agree to these Terms. If you do not agree, do not use StockUp.

We may update these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated. Your continued use of StockUp after an update means you accept the updated Terms.

When a new legal version is published, signed-in StockUp users may need to review and accept the current Terms, Privacy Policy, and Risk Disclaimer before using authenticated StockUp features. Signed-in Developer Console and Playground users must accept the current developer terms before opening those workspaces. Existing Developer API credentials are not revoked solely because a user has not accepted a newer Dashboard version, and direct API requests may continue subject to the applicable API terms.

2. Informational Use Only; No Financial Advice

StockUp is an educational, research, analytics, and productivity platform. StockUp does not provide personalized investment advice, financial planning, legal advice, tax advice, brokerage services, investment advisory services, or trade execution.

  • StockUp is not a registered investment adviser, broker-dealer, securities exchange, bank, or fiduciary.
  • Quan outputs, AI reports, alerts, ratings, StockUp EOY targets, analyst summaries, portfolio health checks, and Live Move Context explanations are informational only.
  • You are solely responsible for your investment decisions, trades, tax consequences, and financial outcomes.
  • You should verify important information independently and consult qualified professionals when appropriate.

3. Market Risk

Investing involves risk, including possible loss of principal. Stocks, ETFs, options, crypto assets, microcaps, penny stocks, premarket trading, after-hours trading, and overnight trading may be volatile, illiquid, or subject to sharp changes. Past performance does not guarantee future results.

Social media, news headlines, analyst ratings, price targets, AI summaries, and market sentiment can be incomplete, misleading, delayed, or wrong. Do not make investment decisions based only on StockUp or Quan.

4. Quan and AI-Generated Content

Quan is an AI assistant that can summarize, explain, compare, and analyze market information. AI-generated content may contain mistakes, unsupported assumptions, outdated information, hallucinated details, mathematical errors, or formatting errors.

  • Quan may use provided page context, user prompts, uploaded files, market data, public web sources, and model reasoning to generate answers.
  • Quan does not know your full financial situation unless you provide information, and even then its output is not personal financial advice.
  • Quan may use cautious language such as “possible,” “likely,” or “the evidence points to” because market causality is rarely certain.
  • You must verify important facts, numbers, sources, citations, and conclusions before relying on them.

Quan uses Google's Gemini API. StockUp may enable Gemini API logging for the project that powers Quan. Those project-private logs may include requests, responses, metadata, and previous-turn context for supported Gemini API calls. Authorized StockUp project administrators may access these logs for debugging, security, quality review, and product improvement. If StockUp creates datasets, submits feedback, or shares selected logs with Google, Google may process that shared data under Google's applicable Gemini API terms.

5. Market Data, Charts, News, and Third-Party Sources

StockUp may display or process data from third-party providers, public sources, exchanges, APIs, RSS feeds, SEC EDGAR, Reddit, news publishers, analyst summary sites, or user-connected data providers. Market data can be delayed, incomplete, inaccurate, unavailable, subject to licensing restrictions, or interrupted.

StockUp does not guarantee the accuracy, timeliness, completeness, or availability of prices, charts, extended-hours data, volume, fundamentals, news, ratings, analyst targets, heatmaps, sparkline data, or other market information.

Links to third-party websites are provided for convenience and context. StockUp does not control, endorse, or accept responsibility for third-party content, terms, privacy practices, or availability.

6. Bring Your Own Key (BYOK) Data Access

StockUp may allow users to connect their own Finnhub API key or other data-provider credentials. If you use BYOK features:

  • You are responsible for your provider account, API key, usage limits, fees, and compliance with the provider's terms.
  • StockUp is not responsible for provider outages, provider rate limits, provider pricing changes, invalid keys, revoked keys, or data restrictions.
  • You should not share API keys publicly or connect keys you are not authorized to use.
  • StockUp may store or process your key as needed to provide requested functionality, subject to the Privacy Policy.

7. StockUp EOY View and Price Targets

StockUp EOY View, price targets, target ranges, bull/base/bear scenarios, institutional comparisons, and related explanations are informational estimates. They are not guarantees, price predictions you should rely on, or instructions to buy, sell, or hold any security.

Some StockUp target records may be hard-coded, manually reviewed, periodically updated, or unavailable for a ticker. If a ticker has limited data, StockUp may show “Not enough data” rather than produce a target. Do not treat missing, stale, or hard-coded information as current professional research.

8. Live Move Context Beta

Live Move Context is a beta feature that attempts to identify meaningful price moves and possible context, such as news, filings, technical follow-through, retail chatter, or no fresh driver. It does not prove causation.

  • A matched headline, filing, social post, or technical label may be coincidental.
  • Repeated moves may not have fresh catalysts.
  • Social sources are lower-confidence and should not be treated as verified drivers.
  • Move history saved on your device may be incomplete or lost if local storage is cleared.

9. Portfolio Tools and Imported Data

Portfolio features, brokerage statement imports, holdings tracking, performance charts, allocation visuals, health checks, stress tests, and Quan portfolio analysis are tools for organizing and reviewing information. They are not account statements, brokerage records, audited reports, or investment management services.

  • You are responsible for verifying imported tickers, share counts, cost basis, account values, and transaction history.
  • Portfolio values may differ from your broker because of stale prices, missing data, corporate actions, fees, taxes, rounding, currency issues, or import errors.
  • Risk scores, health checks, and action plans are estimates and may be wrong.
  • StockUp does not custody assets, place trades, manage money, or monitor your account for fiduciary purposes.

10. Accounts, Eligibility, and User Responsibilities

You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account. You may not use StockUp for unlawful activity, market manipulation, harassment, reverse engineering, abuse of APIs, scraping beyond permitted use, credential sharing, or attempts to bypass plan limits.

You must comply with all laws and regulations that apply to your use of StockUp, including securities laws, data-provider terms, intellectual property laws, and export controls.

11. Subscriptions, Metered Usage, Billing, and Limits

Some StockUp features require a paid plan. Plan names, prices, included features, usage limits, and billing details are shown in the app or checkout flow. Subscriptions may renew automatically unless cancelled before renewal. Cancellation stops future renewals but does not automatically refund earlier charges unless required by law or stated at checkout.

11.1 Essentials and Pro usage

When metered usage is enabled for a plan, each billing period includes a combined Quan allowance:

  • Essentials includes up to 300,000 tokens per billing period.
  • Pro includes up to 1,000,000 tokens per billing period.

Usage combines input tokens, visible output tokens, and provider-reported reasoning or thinking tokens. Included tokens reset at the beginning of the next billing period and do not roll over unless the applicable plan description expressly says otherwise. Additional usage may be billed at the then-current metered rates shown in the product. If an eligible payment method is unavailable, StockUp may pause additional usage until the next billing period or until billing is authorized.

Usage notices and browser estimates are provided for convenience. The server-side usage record is authoritative.

11.2 Deep Research

Deep Research is governed by separate plan limits. Essentials members may make up to 2 Deep Research requests per 24-hour period. Pro members may make up to 4 Deep Research requests per 24-hour period. Deep Research does not use the monthly Essentials or Pro token allowance unless the product expressly states otherwise.

11.3 Developer API allowances

Developer API free allowances are available only to verified Developer API accounts and only for the specified model IDs. Quan 3.4 L includes 100,000 lifetime tokens, and Quan 3.0 has a separate 100,000-token allowance. These allowances are account-level, shared across the account's API keys, and calculated using combined input, output, and provider-reported reasoning tokens.

Developer API free allowances do not apply to Essentials or Pro subscriptions, Deep Research, Quan 3.4, Quan 3.3, Enterprise model aliases, or another model unless the applicable product documentation expressly says so. Free Quan 3.4 L grounded requests may include up to two live searches while the allowance remains available. Additional token usage, paid models, and searches require prepaid balance.

When a Developer API request would exceed the remaining free Quan 3.4 L allowance and the wallet cannot cover the overage, StockUp may stop the request before paid provider work begins. Existing API keys may remain usable without accepting a newer Dashboard version, but new key creation and wallet purchases require acceptance of the current developer terms.

11.4 Prepaid wallet funds

Developer API wallet funds do not expire. Funds belong to the purchasing account, cannot be transferred to another account, and may be used across that account's API keys. StockUp may reserve estimated token or search costs before a request and settle the final charge using actual provider-reported usage.

11.5 Limits and changes

  • Users may not bypass limits, create accounts to evade limits, share credentials improperly, or manipulate requests to avoid billing controls.
  • We may change, suspend, or discontinue features, especially beta or provider-dependent features, subject to any applicable written agreement.
  • Enterprise usage, seats, token pools, support, service levels, and special data-handling terms are governed by the applicable Enterprise agreement or order form. See the Enterprise Terms Addendum.

12. User Content, Uploads, and Feedback

You may submit prompts, portfolio data, uploaded files, screenshots, brokerage statements, API keys, notes, and other content. You represent that you have the right to provide that content and that it does not violate the law or anyone else's rights.

You grant StockUp a limited right to process your content to operate, secure, improve, and support the service. If you provide feedback or suggestions, StockUp may use them without obligation to compensate you.

Quan may temporarily store uploaded PDFs, extracted text, OCR results, and generated PDFs to complete document jobs. Uploaded source content is normally scheduled for deletion after 24 hours and generated artifacts after 30 days. Document processing may use cloud storage, malware screening, OCR, and AI model providers. You remain responsible for downloading artifacts you wish to keep.

Generated investment plans are educational scenarios, not individualized fiduciary, legal, tax, or investment advice. Assumptions and projections may be wrong, and returns are never guaranteed.

13. Intellectual Property

StockUp, StockUp Quan, the interface, designs, branding, software, generated share-card templates, prompts, workflows, and related materials are owned by StockUp or its licensors. You may not copy, resell, sublicense, or create competing services using StockUp's protected materials except as permitted by law or written permission.

14. Availability and Changes

StockUp is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, error-free operation, data availability, or compatibility with every device, browser, data provider, or market session. Maintenance, provider outages, API limits, cloud incidents, or model availability may affect service.

15. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, StockUp disclaims all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, and availability.

To the maximum extent permitted by law, StockUp will not be liable for investment losses, trading losses, lost profits, lost data, missed opportunities, inaccurate data, AI errors, provider outages, unauthorized access caused by user conduct, or indirect, incidental, consequential, special, exemplary, or punitive damages.

16. Indemnification

You agree to defend, indemnify, and hold harmless StockUp and its operators, affiliates, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of StockUp, your content, your violation of these Terms, your violation of law, or your misuse of market data or AI outputs.

17. Termination

We may suspend or terminate access to StockUp if you violate these Terms, create risk for StockUp or other users, misuse the service, fail to pay required fees, or if we discontinue the service. You may stop using StockUp at any time.
